• Assisted on drafting an EPC contract for a run-over-the-river hydropower project in North-East Malaysia.

• Advising and assisted on drafting a settlement agreement for the purpose of settling the dispute between the employer and the contractor arising from a EPCC contract on a Waste-to-Energy plant.

Ø Corporate

• Assisted the team on a restructuring exercise for a PN17 company. Some of the exercise include fling applications to Bursa, conducting due diligence exercise, drafting of agreements and de-listing of company.

• Assisted the team on an initial public offering exercise of a healthcare company to be listed on the ACE market.

Ø Compliance

• Assisted the team on the legal exercise for a public listed company in the heavy engineering industry for the purpose of compliance with Section 17A of the Malaysian Anti-Corruption Commission Act 2009.

• Assisted the team on the legal exercise for a public listed company in the construction industry for the purpose of compliance with Section 17A of the Malaysian Anti-Corruption Commission Act 2009.

Ø Construction

• Assisted the team in advising a company (owner) on an EPCC Waste-to-Energy plant, particularly on the issues of extension of time and delay.

• Assisted in the preparation of mediation and arbitration on contractual issues arising from an EPCC Contract for a Waste-to-Energy plant.

• Assisted in the drafting of a legal opinion to a public listed company in relation to calling on a performance bond.

Ø Corporate

• Assisted the team in drafting and perusing a joint venture agreement between a Malaysian company and a Saudi Arabia company for a housing development project in Saudi Arabia.

• Assisted the team in drafting and perusing a memorandum of understanding between a Malaysian company and a Saudi Arabia company for a housing development project in Saudi Arabia.

Ø Corporate, Mergers & Acquisition

• Assisted the team in drafting a distribution and sale and purchase agreement of a brand of welding consumables and the indirect business involving such brand.

• Assisted the team in legal due diligence exercise for the acquisition of an indirect business as well as a brand of welding consumables to be sold and distributed by the client.

• Assisted the team in drafting a shareholders’ agreement where the shareholders are desirous of collaborating in the management of the company.

• Assisted the team in legal due diligence exercise for the acquisition of equity stake by the holding company in the client company which seeks to undertake a power project.

• Assisted the team in drafting a loan agreement provided by the lender for the borrower to subscribe shares in a private company. • Assisted the team in legal due diligence exercise for the acquisition of equity stake by the holding company in the client company which seeks to undertake a power project.

• Assisted the team in drafting a debt into equity conversion agreement for the proposed conversion of the borrower’s debt into equity shares of the lender’s company.

• Assisted the team in the drafting and reviewing of the constitution of a private company to be in compliance with the applicable laws.

• Assisted the team in preparation of a written submission for trademark registration in Malaysia for a private company involved in providing coaching services.

• Assisted the team in preparation of a statutory declaration for trademark registration in Malaysia for a private company involved in providing coaching services.

Divided into several departments throughout the three months, including the civil and criminal divisions. In each department, I was given the task of researching on various areas of law such as land law, medical law, tort law and contract law.
